Welcome to Padoori. These Terms of Service ("Terms") govern your access to and use of the website, software, APIs, and conversational AI voice services provided by Padoori, Inc. ("Padoori", "we", "us", or "our").
By signing up for an account, deploying an AI voice agent, or using our platform, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
1. Scope of Service & Platform License
Padoori offers a SaaS platform that allows businesses to build, customize, and deploy conversational AI voice agents ("Agents") to handle inbound calls, qualify leads, schedule calendar bookings, and sync data directly into third-party CRMs. Subject to these Terms and your payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform during your subscription term.
Padoori reserves the right to modify, suspend, or discontinue any feature or component of the platform at any time with reasonable notice. We make no guarantee regarding specific uptime, response time, call connection rates, or agent accuracy. Our platform is a tool; your results depend on your configuration, playbooks, and business practices.
2. Telecommunications & Regulatory Compliance
Conversational voice automation is subject to strict state, federal, and international telecommunication laws. You bear sole responsibility for how you utilize our platform to communicate with third parties.
2.1 Inbound Calls
For inbound lead capture, qualification, or dispatch systems, you must ensure that your interactive voice response (IVR) flows and Agent disclosures comply with all local statutes. You must clearly identify the Agent as an automated assistant at the beginning of the call if required by law. For calls where recording is enabled, you must provide adequate notice and obtain consent as required by applicable wiretapping and call recording laws (see Section 3.2).
2.2 Outbound Calls & Consent
If you utilize Padoori to trigger outbound calls (e.g., following up on dynamic lead submissions or appointment notifications), you represent and warrant that:
- (a) You have obtained the necessary prior express written consent from the recipient to receive automated calls, complying fully with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and the Telemarketing Sales Rule (TSR), 16 C.F.R. Part 310.
- (b) You will respect all Federal Trade Commission (FTC) "Do Not Call" registry rules (16 C.F.R. § 310.4(b)), as well as any applicable state-level Do Not Call registries including but not limited to those maintained by Florida (Fla. Stat. § 501.059), Texas (Tex. Bus. & Com. Code § 304.001 et seq.), California (Cal. Bus. & Prof. Code § 17590 et seq.), and New York (N.Y. Gen. Bus. Law § 399-z).
- (c) You will not use Padoori for cold outreach, telemarketing, or spam. Padoori is designed and intended for legitimate business communications with existing or prospective customers who have demonstrated interest or provided consent. Any use of the platform for unsolicited commercial communications is strictly prohibited.
- (d) You will comply with all applicable state-level telemarketing and autodialer restrictions, including state mini-TCPA laws and regulations governing the use of automatic dialing-announcing devices (ADADs).
Padoori reserves the right to immediately terminate or suspend any account found in violation of these telecommunications policies without a refund. You agree to indemnify and hold harmless Padoori, Inc., its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of this Section 2.
3. Customer Content & Voice Recordings
To operate our voice platform, Padoori processes audio, transcripts, grounding knowledge, spreadsheets, CRM payloads, and metadata ("Customer Content").
3.1 License to Process
You grant Padoori a worldwide, royalty-free, non-exclusive license to ingest, store, transcribe, process, and transmit Customer Content solely for the purpose of providing and maintaining the services, including executing real-time voice streaming and syncing with your CRM. This license terminates upon deletion of your Customer Content or termination of your account, except to the extent retention is required by law or for legitimate business purposes such as billing records, dispute resolution, and security audits.
3.2 Audio & Recording Consent
You understand that calls handled by Padoori are recorded and transcribed by default for operational logging and quality purposes. You must obtain all necessary consents from callers as required by federal, state, and international wiretapping and recording laws. This includes, but is not limited to, implementing an opening disclosure statement such as "This call is handled by an automated assistant and recorded for quality purposes."
YOU ACKNOWLEDGE THAT CALL RECORDING CONSENT LAWS VARY BY JURISDICTION. Federal law (18 U.S.C. § 2511) requires one-party consent. However, several states require all-party consent, including but not limited to: California (Cal. Penal Code § 632), Florida (Fla. Stat. § 934.03), Illinois (720 ILCS 5/14-2), Maryland (Md. Code, Cts. & Jud. Proc. § 10-402), Massachusetts (Mass. Gen. Laws ch. 272, § 99), Michigan (Mich. Comp. Laws § 750.539c), Montana (Mont. Code Ann. § 45-8-213), Nevada (Nev. Rev. Stat. § 200.620), New Hampshire (N.H. Rev. Stat. Ann. § 570-A:2), Pennsylvania (18 Pa. Cons. Stat. § 5703), and Washington (Wash. Rev. Code § 9.73.030). You bear sole responsibility for configuring your Agent's disclosure to comply with the laws applicable to your callers' jurisdictions.
4. Subscription Billing, Fees & Minute Usage
Billing is structured on a monthly subscription model, based on the specific tier selected (Basic, Standard, or Platinum). Minutes are measured from the moment a call is connected to a Padoori server to the moment the connection terminates.
4.1 Base Allotment
Each subscription tier includes a monthly allotment of minutes. Unused base allotment minutes expire at the end of each billing cycle and do not roll over to subsequent months.
4.2 Additional Minutes
Additional minutes beyond your base monthly allotment are available by purchasing prepaid minute packages (see Section 4.3) at a flat rate of $1.00 (one U.S. dollar) per minute. Billing is prepaid: Padoori does not automatically invoice for usage beyond your available minutes. To continue placing calls once your base allotment is exhausted, you must have prepaid minutes available, whether purchased manually or added automatically through auto-recharge (if enabled).
4.3 Prepaid Minute Packages
Customers may purchase prepaid minute packages in the following denominations: $10.00 (10 minutes), $30.00 (30 minutes), $60.00 (60 minutes), or $120.00 (120 minutes). All packages are priced at a flat rate of $1.00 per minute. Prepaid minutes are consumed after your base monthly allotment for the billing cycle is exhausted. Like base allotment minutes, prepaid minutes apply to the billing cycle in which they are available and do not roll over to subsequent billing cycles. Upon account cancellation or termination, unused minutes are not refundable except as required by applicable law.
4.4 Auto-Recharge (Optional)
Where offered, you may enable automatic minute refills ("auto-recharge") through your account dashboard. When auto-recharge is enabled, Padoori will automatically purchase a prepaid minute package on your payment method on file whenever your available minute balance falls below a minimum threshold. The current auto-recharge package is 60 minutes ($60.00) and the current threshold is 30 minutes, applied no more than a limited number of times per billing cycle. You may enable or disable auto-recharge at any time where the feature is available, and auto-recharge charges will appear on your payment method on file as discrete transactions. Padoori may add, modify, suspend, or discontinue auto-recharge at any time.
4.5 Payment Processing
All subscription fees and prepaid package purchases are processed automatically using Stripe or another PCI-compliant payment processor. You authorize Padoori to charge your payment method on file for all amounts due, including recurring subscription charges, prepaid minute purchases, and auto-recharge transactions (if enabled). Failed payments that are not resolved within seven (7) business days will result in service suspension. Accounts suspended for more than thirty (30) days due to non-payment may be terminated and all associated data permanently deleted.
4.6 Pricing Changes
Padoori reserves the right to modify pricing, including base subscription rates and per-minute pricing, upon thirty (30) days' written notice to the email address associated with your account. Continued use of the service after a price change constitutes acceptance of the new pricing. Prepaid minute packages already purchased will be honored at the rate in effect at the time of purchase for the billing cycle in which they were bought.
5. AI Disclaimers, No Performance Guarantees & Representations
5.1 AI Limitations
CONVERSATIONAL AI VOICE AGENTS ARE STOCHASTIC SYSTEMS. Padoori applies prompt design and guardrail configurations to minimize hallucinations, inaccuracies, and off-script responses. However, you acknowledge and agree that:
- (a) THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, COMPLETELY ACCURATE, ERROR-FREE, OR AVAILABLE AT ALL TIMES.
- (b) Padoori makes no guarantee that any Agent will handle every caller inquiry correctly, convert leads at any specific rate, or produce any particular business outcome (including but not limited to bookings, revenue, customer satisfaction, or call containment rates).
- (c) AI Agents may, despite our best efforts, produce unexpected or suboptimal responses. You are responsible for monitoring Agent performance, reviewing call transcripts, and configuring your playbooks appropriately.
5.2 No Overpromise
Padoori does not guarantee, promise, or represent that the platform will:
- (a) Capture or book any specific percentage or number of inbound calls;
- (b) Generate any specific amount of revenue, profit, or return on investment;
- (c) Replace or eliminate the need for human staff;
- (d) Operate without any downtime, errors, or service interruptions;
- (e) Be compatible with every third-party CRM, calendar, or software integration under all conditions.
Any marketing materials, case studies, demo calls, or sales discussions that reference specific results (e.g., "clients typically see 5-15 additional bookings per month") are provided for illustrative purposes only. Such examples represent the experiences of specific customers under specific conditions and are not guarantees of your results. Actual results may vary based on numerous factors including, but not limited to, your industry, call volume, pricing configuration, Agent playbook design, and market conditions.
5.3 Third-Party Integrations
Padoori may integrate with third-party services including but not limited to CRMs, calendar systems, payment processors, and messaging platforms. We do not warrant the continued availability or functionality of any third-party integration. Third-party integrations are subject to the terms and conditions of those third-party providers.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PADOORI, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:
- (a) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, WHETHER INCURRED DIRECTLY OR INDIRECTLY;
- (b) ANY DAMAGES ARISING FROM MISSED CALLS, LOST BOOKINGS, LOST CUSTOMERS, OR ANY OTHER BUSINESS INTERRUPTION OR OPPORTUNITY COST;
- (c) ANY DAMAGES ARISING FROM INACCURATE, INCOMPLETE, OR MISLEADING RESPONSES PROVIDED BY AN AI AGENT TO A CALLER;
- (d) ANY DAMAGES RESULTING FROM SERVICE INTERRUPTIONS, OUTAGES, DOWNTIME, OR TECHNICAL MALFUNCTIONS;
- (e) ANY DAMAGES EXCEEDING THE TOTAL FEES PAID BY YOU TO PADOORI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE FOREGOING LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF PADOORI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
7. Indemnification
You agree to defend, indemnify, and hold harmless Padoori, Inc. and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- (a) Your use of and access to the platform;
- (b) Your violation of any term of these Terms;
- (c) Your violation of any third-party right, including without limitation any privacy right, intellectual property right, or publicity right;
- (d) Your violation of any applicable law, rule, or regulation, including but not limited to the TCPA, TSR, FTC rules, FCC regulations, and state telemarketing, wiretapping, and call recording laws;
- (e) Any content, data, or configuration you upload to, deploy through, or process using the platform;
- (f) Any claim that your Customer Content or Agent configuration caused damage to a third party.
8. Data Privacy & Security
8.1 Privacy Policy
Your use of the platform is also governed by our Privacy Policy, which is incorporated herein by reference. Our Privacy Policy describes how we collect, use, store, and share your personal information and is available at padoori.com/privacy.
8.2 California Consumer Privacy Act (CCPA/CPRA)
If you are a California resident or your business is subject to the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 (Cal. Civ. Code § 1798.100 et seq.), you acknowledge that Padoori acts as a "Service Provider" with respect to any personal information contained in your Customer Content that we process on your behalf. We do not sell personal information and do not share personal information for cross-context behavioral advertising purposes. We will not retain, use, or disclose personal information processed on your behalf for any purpose other than providing the services specified in these Terms or as otherwise permitted by the CCPA.
8.3 Data Security
Padoori implements commercially reasonable administrative, technical, and physical security measures designed to protect Customer Content against unauthorized access, destruction, loss, or alteration. However, no method of electronic transmission or storage is 100% secure. We cannot guarantee absolute security of your data.
8.4 Data Retention
Upon termination of your account, Padoori will delete all Customer Content within sixty (60) days, except to the extent retention is required by applicable law or for legitimate business purposes (including fraud prevention, dispute resolution, and audit requirements). You may request earlier deletion by contacting us at the email address below.
9. State-Specific Provisions & Notices
9.1 California Users
In addition to the CCPA provisions in Section 8.2, California residents are entitled to the following specific notices:
- (a) Automatic Renewal: Under California Business and Professions Code § 17600 et seq., we provide clear and conspicuous disclosure of our automatic renewal terms at the point of sale, including the cancellation policy and how to cancel. You may cancel your subscription at any time by contacting us or through your account dashboard.
- (b) Electronic Communications: You acknowledge that these Terms and any related notices are provided in electronic form, and that your electronic signature or click-through acceptance constitutes a valid and binding agreement under the Uniform Electronic Transactions Act (Cal. Civ. Code § 1633.1 et seq.).
- (c) Consumer Complaints: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
9.2 Florida Users
If you are a Florida resident or your business is based in Florida, you are subject to the Florida Telemarketing Act (Fla. Stat. § 501.059) and the Florida Security of Communications Act (Fla. Stat. Chapter 934). You are responsible for compliance with Florida-specific consent and disclosure requirements for automated calls and call recording.
9.3 Texas Users
If you are a Texas resident or your business is based in Texas, you are subject to the Texas Business and Commerce Code § 304.001 et seq. regarding telephone solicitation and the Texas Penal Code § 16.02 regarding unlawful interception of communications. You are responsible for compliance with Texas-specific consent and disclosure requirements.
9.4 New York Users
If you are a New York resident or your business is based in New York, you are subject to N.Y. General Business Law § 399-z regarding telemarketing and N.Y. Penal Law § 250.00 et seq. regarding wiretapping. You are responsible for compliance with New York-specific consent and disclosure requirements.
10. Termination
10.1 Termination by You
You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation will take effect at the end of your current billing cycle. No refunds are provided for partial billing cycles, except as required by applicable law. Unused prepaid minutes are not refundable upon cancellation except as required by applicable law.
10.2 Termination by Padoori
Padoori may suspend or terminate your account immediately, without prior notice or liability, for any violation of these Terms, including but not limited to: (a) violation of telecommunications laws (Section 2); (b) non-payment of fees (Section 4); (c) use of the platform for illegal purposes; or (d) any other material breach of these Terms.
10.3 Effect of Termination
Upon termination, your right to access and use the platform immediately ceases. Padoori will have no obligation to maintain or provide any Customer Content and may delete all Customer Content in accordance with Section 8.4. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5, 6, 7, 8, and 11.
11. General Provisions
11.1 Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the platform shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
11.2 Modifications to Terms
Padoori reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on padoori.com and updating the "Last updated" date. For material changes, we will also notify you via the email address associated with your account at least thirty (30) days before the changes take effect. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the modified Terms.
11.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
11.4 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Order Form or Statement of Work, constitute the entire agreement between you and Padoori regarding the platform and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
11.5 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Padoori's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
11.6 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without Padoori's prior written consent. Padoori may assign these Terms without restriction.
